Key Responsibilities:

• Advise clients on equity financings, fund formation, debt structures, and private M&A transactions.
• Draft and negotiate complex transactional documents across venture, private equity, and lending matters.
• Work directly with founders, funds, and investors on strategic structuring and execution.
• Collaborate with a lean, high-performing team on sophisticated domestic and cross-border deals.

Ideal Candidate:

• 5+ years of corporate law experience (7–8 years ideal).
• Background in Big Law required.
• Experience in equity, funds, private M&A and debt/structured finance (private company focus preferred).
• Strong drafting, deal management, and client-facing skills.
• Entrepreneurial mindset with comfort operating in a boutique, high-autonomy environment.
